1. Acceptance of Terms

Welcome to Cublya. By accessing and using our website, products, and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

2. Description of Services

Cublya is a product studio. We design, build, and run our own software (such as Pulget and Whereto) and partner with a handful of teams each year to build theirs, offering web and mobile development, AI integration, product design, cloud, and growth. The specific deliverables for any engagement are outlined in a separate agreement with the client.

3. Use of Services

You agree to use our services for lawful purposes only and in accordance with these Terms. You are prohibited from:

• Using our services for any illegal activities.
• Attempting to interfere with, compromise the integrity or security of, or decipher any transmissions to or from the servers running our services.
• Using our services in any manner that could damage, disable, overburden, or impair our website.
• Using any automated engine, software, or tool to navigate or scrape our website beyond standard public indexing.

4. Intellectual Property Rights

Unless otherwise specified in writing, all materials including designs, text, graphics, software, and other files are the property of Cublya. Client ownership of deliverables produced during an engagement is specified in the individual client agreement.

5. Payment and Billing

Payment terms, including rates, schedules, and acceptable payment methods, are outlined in individual client agreements. Clients are expected to make payments according to the agreed schedule.

6. Limitation of Liability

Cublya shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services. In no event shall our total liability to you exceed the amounts paid by you to us during the twelve (12) month period prior to any cause of action arising.

7. Indemnification

You agree to indemnify and hold harmless Cublya, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your access to or use of our services.

8. Termination

Cublya reserves the right to terminate your access to our services, without cause or notice. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Changes to Terms

Cublya reserves the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on our website. Your continued use of our services following any changes indicates your acceptance of those changes.

10. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Cublya is established, without regard to its conflict of law provisions.
